1. Acceptance of Terms

By creating an account, connecting an Instagram/Meta account, or using Convly, you agree to these Terms of Service. If you use Convly on behalf of a business or team, you represent that you have authority to bind that organization.

If you do not agree to these terms, do not use Convly.

2. Description of Service

Convly is a SaaS platform that helps creators, sellers, and small teams manage Instagram interaction automation, including comment replies, DM automation, message templates, quick replies, lead capture, campaign resources, activity logs, analytics, billing, and feedback.

Some features may be in beta, coming soon, limited, or temporarily unavailable. We may change, add, suspend, or discontinue features to maintain service quality, security, legal compliance, or Meta/Instagram platform compliance.

3. Eligibility & Account Responsibility

By using Convly, you represent that:

  • You are at least 18 years old or have legal capacity to use the service.
  • You have authority over the Convly workspace and Instagram/Meta account you connect.
  • Your account information is accurate and kept up to date.
  • You are responsible for securing your email, password, devices, team access, and Meta account.
  • You are responsible for all activity that occurs through your Convly account, workspace, and connected Instagram account.

4. Instagram Connection & Meta Compliance

Convly uses official Meta/Instagram APIs for features that require an Instagram connection. By connecting your Instagram account, you authorize Convly to access data and perform actions required by the features and automations you configure.

You agree to comply with all applicable Meta, Instagram, developer, messaging, commerce, anti-spam, privacy, and technical requirements. Convly is not an official Meta or Instagram product and is not affiliated with, sponsored by, or endorsed by Meta.

You are responsible for the content, messages, replies, campaigns, audiences, lead collection, and automation configuration you create in Convly.

5. Acceptable Use

You may use Convly only for lawful, consent-respecting, platform-compliant automation. You may not use Convly to:

  • Send spam, unsolicited bulk messages, deceptive promotions, or misleading content.
  • Violate Meta's, Instagram's, or any applicable platform policies or technical limits.
  • Impersonate others, deceive users, or run fraudulent activity.
  • Send illegal, harmful, harassing, discriminatory, exploitative, or intellectual property-infringing content.
  • Collect, store, upload, or misuse personal data without a valid legal basis or required notice/consent.
  • Request or store sensitive information that is not necessary for your campaign.
  • Bypass rate limits, message limits, review requirements, security controls, or platform restrictions.
  • Hack, overload, scrape, reverse engineer, exploit, or disrupt Convly or third-party services.
  • Resell, sublicense, or provide managed access to Convly without our written permission.

We may suspend or terminate access if your usage risks harming users, Convly, Meta/Instagram, third-party services, or the public.

6. Billing, Plans, and Payments

If paid features are available, pricing, usage limits, billing periods, and plan benefits will be shown on the pricing or billing page. Payments may be processed by third-party payment providers.

You are responsible for keeping payment and billing information accurate. Failed payments may result in restrictions, downgrade, or loss of access to paid features. Unless stated otherwise at checkout or required by law, fees already paid are non-refundable once the service has been provided.

Beta, free, trial, or promotional access may be changed, limited, or ended at any time.

7. User Content and Permissions

Content you create or upload in Convly, including automation rules, message templates, campaign resources, lead forms, feedback, and support materials, remains yours or your licensors'.

You grant Convly a limited permission to host, process, transmit, display, analyze, and store that content only as needed to operate, secure, support, and improve the service and to comply with legal or platform requirements.

You represent that you have the rights, notices, permissions, and lawful basis needed for the content, contacts, leads, messages, and campaign data you process through Convly.

8. Convly Intellectual Property

Convly, including its code, design, brand, interface, documentation, workflows, and platform content, belongs to us or our licensors. You may not copy, modify, distribute, create derivative works from, or use Convly's intellectual property except as allowed by the service or with written permission.

9. Service Availability & Third-Party Limits

We work to keep Convly reliable, but we do not guarantee that the service will always be uninterrupted, error-free, secure, or compatible with every third-party API or policy change.

Convly depends on third-party services, including Meta/Instagram, hosting, database, authentication, payment, email, analytics, and monitoring providers. Outages, policy changes, rate limits, app reviews, permission changes, or restrictions from those providers may affect Convly's functionality.

Convly does not guarantee follower growth, revenue, message deliverability, platform approval, or that your Instagram account will never be restricted.

10. Suspension & Termination

We may suspend or terminate your access if you violate these terms, misuse the service, create legal/security/platform risk, fail to pay applicable fees, or if required by law or third-party platform policies.

You may stop using Convly at any time, disconnect Instagram/Meta access, and request data deletion through the available contact channel. Some data may be retained as described in the Privacy Policy.

11. Disclaimers

Convly is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free performance.

You are responsible for reviewing automations before enabling them and for ensuring your use of Convly complies with applicable laws, platform policies, and your own privacy notices.

12. Limitation of Liability

To the fullest extent permitted by law, Convly is not liable for:

  • Outages, changes, rate limits, reviews, permission removals, or restrictions from Meta/Instagram APIs.
  • Suspension, restriction, loss, or penalties affecting your Instagram/Meta account.
  • Business losses, lost revenue, lost leads, lost data, reputation damage, or missed opportunities.
  • Content, messages, replies, campaigns, resources, or lead collection you create and send through Convly.
  • Indirect, incidental, special, consequential, exemplary, or punitive damages.

13. Indemnification

You agree to defend and hold Convly harmless from claims, losses, costs, damages, or liabilities arising from your use of the service, content or data you process, violation of these terms, violation of law, violation of platform policies, or infringement of third-party rights.

14. Changes to These Terms

We may update these terms to reflect product changes, provider requirements, legal requirements, or operational needs. If changes are material, we will provide notice through email, dashboard notice, or this page when appropriate. Continued use after changes take effect means you accept the updated terms.

15. Governing Law

These terms are governed by the laws of the Republic of Indonesia. Disputes will first be handled through good-faith communication and negotiation. If unresolved, disputes will be handled by the competent forum in Indonesia.
